The Restraint of Trade Clause shall be included in a labour agreement to preserve the client’s competitive position and restrain the employee from disclosing trade secrets and creating subsequent legal relationships. Since this clause imposes many limitations, it shall be subject to several conditions, including: (i) the employer’s legitimate interests, (ii) determination of the time and place of performance of the clause, and (iii) non-contradiction with public policy and social benefits. In Iranian law, since the Labour Act does not expressly comprise the Restraint of Trade Clause, we will examine the clause under the general rules governing clauses and obligations. This paper seeks to examine the clause and its conditions generally, and then within the context of Iranian law.
